CAELIS Terms of Use

Acceptance

By accessing or using CAELIS, you agree to these Terms. If you do not agree with them, please do not use the service.

What CAELIS is

CAELIS is a private network for people interested in building things online.

Depending on the stage of CAELIS, services may include network access, Explore, Build, discussions, private sessions, resources, business breakdowns, opportunities, tools, member introductions and other features released over time.

CAELIS is developing progressively. Not every feature will necessarily be available at all times.

Eligibility and access

Access to CAELIS may be limited, and some areas may require an application. Build may be application-only.

CAELIS may consider whether an applicant is a suitable fit for the network. Joining a waitlist does not guarantee admission, and access may open in stages.

Protected Lanes

CAELIS may try to avoid admitting direct competitors into the same lane, meaning members targeting substantially the same customer with substantially the same offer.

Protected Lanes are not a guarantee of exclusivity.

CAELIS cannot guarantee that no member will ever become a competitor, that no similar business will ever exist inside the network, that members will never enter overlapping markets, or that a lane will remain permanently exclusive.

Protected Lanes are a network-management principle, not a legal non-compete arrangement.

Member conduct

Members must not harass or abuse others, spam, scrape member data, misuse contact information, impersonate others, engage in unlawful conduct, intentionally disrupt the network, use CAELIS primarily to aggressively pitch or solicit other members, or share confidential member information without permission.

No selling. Be useful.

Normal collaboration, referrals and responding to genuine requests are fine. Unsolicited aggressive selling may lead to removal.

Member content and confidentiality

Members may share ideas, methods, business information, feedback, results and experiences. Members retain ownership of what they submit unless otherwise agreed.

Members should respect information that is clearly shared in confidence. However, CAELIS cannot guarantee that another member will never misuse or disclose what you share.

Use your judgment before sharing highly confidential, sensitive or proprietary information.

Sessions and advice

Discussions, sessions, opinions, feedback, resources and member contributions are general information only.

CAELIS does not guarantee business success, income, revenue, customer acquisition, investment outcomes or any particular result. You remain responsible for your own decisions.

Where appropriate, seek professional legal, financial, tax or other specialist advice.

Paid memberships

If paid memberships are introduced, the price and billing frequency will be clearly shown before purchase, and you will need to agree to the applicable price before payment.

Where a recurring membership is offered, recurring charges will be clearly disclosed and cancellation instructions will be made available. Payment may be processed by a third-party payment provider.

Refunds and Australian Consumer Law

Nothing in these Terms excludes, restricts or modifies rights or remedies that cannot lawfully be excluded under the Australian Consumer Law.

Refund or remedy rights may apply where required by law. Any additional voluntary change-of-mind or cancellation policy will be stated separately if and when paid memberships launch.

Changes to CAELIS

CAELIS is still developing, so features, formats and services may change over time.

Where a material change affects an existing paid service, CAELIS will handle that change consistently with applicable law and any rights you may have.

Suspension or removal

CAELIS may suspend or remove access where a member seriously breaches these Terms, harms other members, misuses the network, engages in spam or aggressive solicitation, or creates legal or security risks.

Intellectual property

CAELIS branding, site design, original resources, business breakdowns, written materials and other CAELIS-created content remain the property of CAELIS or their respective rights holders.

Please do not reproduce, resell or commercially redistribute CAELIS-created materials without permission. CAELIS does not claim ownership of your own content simply because you post it in the network.

Third-party links and services

CAELIS may link to external websites, tools or services. CAELIS is not responsible for third-party services it does not control.

Liability

To the extent permitted by law, CAELIS is not responsible for indirect losses arising solely from reliance on member discussions, third-party tools or external opportunities.

Nothing in this section limits rights you have under the Australian Consumer Law.

Governing law

These Terms are governed by the laws of Queensland, Australia.
